What is needed to form a Sdn Bhd?
For a company to run, the minimum requirement in Malaysia requires at least 1 director and 1 shareholder (same entity eligible) to incorporate the company. A few criteria are required to be checked off.
- Only 18years old and above eligible
- At least 1 director with permanent address in Malaysia
- Not precluded under Section 198 of the Companies Act
Also, it is important to note that before incorporating a company, roles and responsibilities of directors and shareholders should be fulfilled.
How to come prepared for incorporation?
There are multiple documents and company information required before-had when registering at a counter, in order for the incorporation process to be smoother.
- Desired company name(s)
- Business nature
- Director and shareholders particulars
- Paid-up capital, minimum is RM 1.00
Additional required documents includes:
- NRIC for identity verification rundown.
- Letter of authorization if your proposed company name has trademarks or subjectified words.
Registering at your nearest SSM branch
After preparing the required documents, one has to drive to the nearest SSM branch and the procedure goes as the following:
- First queue up to get a ticket, which could be ongoing until your turn for hours.
- Hand over the documents pertaining to your company information, background and other particulars.
- Make sure to hand in your Identity Card, as it is a required process for confirmation and recognition of an entity.
A final note, the payment for an incorporation fee totals to RM1,010 (inclusive of tax) and the owner will obtain a transaction receipt. After 30 days of obtaining the Notice of Registration, a company secretary should be arranged.
